Acceptance of these Terms
These Terms and Conditions (the “Terms”) form a binding agreement between Datfuslab Technologies Private Limited, operating the Donexia platform (“Donexia”, “we”, “us” or “our”), and the person or organization accessing or using Donexia (“Customer”, “you” or “your”).
You accept these Terms when you create an account, accept a proposal or order, pay an invoice, access a trial, or otherwise use the services. If you do not agree, do not access or use Donexia.
A signed proposal, order form, statement of work or other written agreement may contain additional terms. If there is a direct conflict, the specifically negotiated written document will control for the subject it covers.
Definitions
- Customer Data means data, records, files and content submitted to Donexia by or for the Customer.
- Authorized User means a person permitted by the Customer to use its Donexia account.
- Donor Data means information about donors or prospective donors entered into the platform.
- Services means the Donexia website, web application, modules, support and related services provided under an applicable plan or order.
- Subscription Term means the period for which the Customer has purchased access to the Services.
Eligibility and organizational authority
You must be legally capable of entering into a contract. If you use Donexia for an NGO, trust, society, Section 8 company, foundation or another entity, you confirm that you are authorized to accept these Terms and act for that entity.
The Customer is responsible for ensuring that its registration, approvals, fundraising activities and use of the Services are lawful in every jurisdiction in which it operates.
Accounts, credentials and authorized access
- Provide complete, accurate and current registration and billing information.
- Keep login credentials confidential and do not share an individual account between unauthorized persons.
- Assign only the access permissions each Authorized User reasonably requires.
- Notify us promptly at info@donexia.in if you suspect unauthorized access or account misuse.
- Remain responsible for activity performed through your account, except to the extent caused by our breach of these Terms.
We may ask for reasonable information to verify the Customer, its representatives, or an account recovery request before restoring or changing access.
Donexia services
Depending on the selected plan, Donexia may provide tools for donor and donation records, digital receipts, fundraising campaigns, payment links, communications, volunteers, activities, dashboards, reports and related NGO operations.
Features, limits, integrations, onboarding and support entitlements may differ by plan. The applicable pricing page, proposal or order will describe the purchased scope. We may improve or modify the Services over time, provided that we do not materially remove paid core functionality during a current Subscription Term without offering a reasonable alternative.
Beta, pilot or preview functionality may be changed or discontinued and may have additional limitations disclosed when it is offered.
Fees, taxes, subscriptions and renewals
Fees and payment
Subscription fees, billing frequency, user or usage limits, setup charges and the Subscription Term will be shown on the applicable plan, proposal, invoice, checkout page or order form. Amounts are payable by the due date and may be subject to GST or other applicable taxes.
Renewal
The renewal model will be disclosed at purchase. Where automatic renewal is enabled, the Customer may cancel renewal before the next billing date using the available account or support process. Cancellation stops future renewal but does not normally reverse fees for the current Subscription Term.
Trials and refunds
Trial access, if offered, is subject to the stated trial period and limits. Unless required by applicable law or expressly stated in a written offer, fees already paid are non-refundable after the paid Subscription Term begins. This does not limit any mandatory rights that cannot legally be excluded.
Late payment
We may restrict paid features or suspend access after giving reasonable notice of an overdue undisputed amount. The Customer should contact us promptly if it disputes an invoice.
Acceptable use
You must not use Donexia to:
- violate applicable law, another person’s rights or a payment provider’s rules;
- collect donations through deception, impersonation, unauthorized fundraising or unlawful activity;
- upload malicious code, attempt unauthorized access, probe security or disrupt the Services;
- send spam or contact people without the permission required by applicable law and channel rules;
- upload content that is unlawful, fraudulent, defamatory, abusive or infringes intellectual property rights;
- reverse engineer, scrape, resell or exploit the Services except where a written agreement expressly permits it;
- circumvent plan limits or use another customer’s account without authorization; or
- misrepresent receipts, donor details, tax eligibility, campaign purpose or use of funds.
We may investigate suspected misuse and take proportionate steps, including limiting functionality or suspending access, where reasonably necessary to protect donors, customers, third parties or the Services.
Customer Data, donor information and privacy
Ownership
As between the parties, the Customer retains its rights in Customer Data. The Customer grants us a limited right to host, process, transmit, back up and otherwise use Customer Data only as reasonably necessary to provide, secure, support and improve the Services, comply with law, and enforce these Terms.
Customer responsibilities
The Customer is responsible for:
- having a lawful basis and providing required notices for collecting and using donor, volunteer, employee and beneficiary information;
- ensuring Customer Data is accurate, relevant and not collected in excess of legitimate operational needs;
- responding to requests and complaints from individuals whose data the Customer controls;
- configuring access permissions and downloading available records when required; and
- avoiding the upload of highly sensitive information unless the purchased workflow specifically requires and supports it.
Communications
If the Customer sends email, SMS or WhatsApp communications through Donexia, the Customer is responsible for obtaining required consent, maintaining opt-out records, using approved templates where applicable and following the relevant channel provider’s policies.
Donation payments and payment gateways
Donexia may help the Customer create or share payment links or connect with third-party payment gateways. Unless a written agreement expressly states otherwise, Donexia is a technology provider and is not the recipient, trustee, fundraiser, bank or payment processor for donations collected by the Customer.
Payment processing, KYC, settlement timelines, transaction fees, refunds, chargebacks and payment disputes are governed by the Customer’s agreement with its payment provider. The Customer is responsible for monitoring settlements and reconciling gateway or bank records with Donexia records.
A record displayed in Donexia does not by itself guarantee that a payment has finally settled or cannot be reversed.
Donation receipts, tax and regulatory compliance
Donexia can help create records, receipts and reports using information supplied or configured by the Customer. The Customer remains solely responsible for checking the accuracy, numbering, wording, tax treatment and legal sufficiency of every receipt, certificate, report and filing.
Donexia does not provide legal, tax, accounting or regulatory advice and does not guarantee that use of a feature satisfies requirements relating to Section 80G, Forms 10BD or 10BE, FCRA, accounting standards, audits, donor disclosures or any other law. Customers should obtain advice from qualified professionals for their circumstances.
The Customer must not represent that a donation qualifies for a deduction, issue an 80G-related document or accept a foreign contribution unless the Customer has the registrations and authority required by applicable law.
Third-party services and integrations
Donexia may interoperate with services such as payment gateways, messaging providers, hosting providers, email services or analytics tools. Third-party services are governed by their own terms, privacy practices, pricing and availability.
We are not responsible for a third party’s acts, downtime, policy changes or data handling. We may replace, suspend or remove an integration if its provider changes access, creates a security or compliance risk, or stops supporting the integration.
Intellectual property
Donexia, its software, design, documentation, branding, workflows and related materials are owned by Datfuslab Technologies Private Limited or its licensors and are protected by applicable intellectual property laws. Except for the limited right to use the Services during an active Subscription Term, no right, title or interest is transferred to the Customer.
The Customer may provide feedback or suggestions. We may use that feedback without restriction or payment, provided we do not publicly identify the Customer without permission.
The Customer grants us permission to use its name or logo only when separately approved, including for a customer list, review or case study. The Customer may withdraw that marketing permission by contacting us, subject to a reasonable period to update materials.
Availability, maintenance and support
We aim to keep Donexia available and secure, but internet-based services may experience maintenance, outages, third-party failures or events outside reasonable control. Unless a separate written service-level agreement applies, we do not guarantee uninterrupted or error-free availability.
Support channels, response targets, onboarding and customization depend on the purchased plan or written order. We may perform scheduled or emergency maintenance and will provide notice when reasonably practical.
Suspension, cancellation and termination
By the Customer
The Customer may cancel future renewal through the available account or support process. Unless a written order says otherwise, cancellation takes effect at the end of the current paid Subscription Term.
By Donexia
We may suspend or terminate access for a material breach, unlawful use, security risk, overdue undisputed fees, or conduct likely to harm the Services or third parties. Where the issue can reasonably be corrected, we will normally provide notice and an opportunity to cure.
Customer Data after termination
Before termination, the Customer should download records using available export features. After termination, contact us promptly about any technically available export. We may retain or delete Customer Data in accordance with our published retention practices, legal obligations, backup cycles and any applicable written agreement.
Provisions that by their nature should survive termination—including payment obligations, intellectual property, disclaimers, liability limitations, indemnity and governing law—will survive.
Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis. We disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement to the extent those warranties may legally be excluded.
We do not guarantee fundraising outcomes, donation volumes, donor retention, regulatory approval, tax deductions, uninterrupted communications, payment settlement or the accuracy of information entered by the Customer or provided by third parties.
Nothing in these Terms excludes a warranty or remedy that applicable law does not allow the parties to exclude.
Limitation of liability
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary or consequential loss, or for loss of profits, goodwill, anticipated savings or business opportunity arising from these Terms.
To the maximum extent permitted by law, our total aggregate liability arising out of or related to the Services and these Terms will not exceed the subscription fees paid or payable by the affected Customer to Donexia during the twelve months immediately preceding the event giving rise to the claim.
These limitations do not apply to liability that cannot legally be limited, or to a party’s fraud, wilful misconduct or infringement of the other party’s intellectual property rights.
Indemnity
To the extent permitted by law, the Customer will defend and indemnify Donexia and Datfuslab Technologies Private Limited against third-party claims, damages and reasonable costs arising from the Customer’s unlawful fundraising, Customer Data, communications, violation of another person’s rights, regulatory non-compliance, or material breach of these Terms.
We will provide reasonable notice of an indemnified claim and cooperation at the Customer’s expense. The Customer may not settle a claim in a manner that admits fault by us or imposes an obligation on us without our prior written consent.
Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Before commencing formal proceedings, the parties will attempt in good faith to resolve a dispute through written notice and discussion for at least thirty days, unless urgent interim relief is reasonably required.
Subject to any mandatory forum rights under applicable law, courts having jurisdiction in Gautam Buddh Nagar, Uttar Pradesh, India will have exclusive jurisdiction over disputes arising from these Terms or the Services.
Changes to these Terms
We may update these Terms to reflect service, legal, security or business changes. The updated version will show a revised “last updated” date. For a material change that adversely affects an active paid subscription, we will provide reasonable notice through the platform, email or another appropriate channel.
Continued use after an updated version takes effect constitutes acceptance of the revised Terms. If the Customer does not agree to a material update, it may stop using the Services and cancel future renewal, subject to any signed order and applicable law.
